ZeroFold Investor Solutions

Understand the technology. Then make it work.

We assess before close and coordinate after close: technical and scientific due diligence before investment, followed by technology and operational integration after investment.

Technical and operational scope only.

ZeroFold reports evidence, risks and execution requirements. We do not provide financial product advice, investment or transaction recommendations, valuations, fundraising, deal arranging or securities dealing.

Before the investment

Technical & Scientific Due Diligence for Investors.

We examine technical and scientific claims, identify material engineering risks and report evidence, limitations and post-close requirements. Each scope is led by a senior diligence lead and matched specialists; the client and its licensed advisers retain every transaction and investment conclusion.

01

Technical Red Flag Screen

Typically 5–7 business days

Find the technical issues that need attention first.

Identify material technical risks, unsupported claims and evidence gaps before setting the full diligence scope.

02

Full Technical & Scientific Due Diligence

Scope-led assessment

Test the technical and operating assumptions.

Assess the technology, team, evidence, defensibility, scalability and execution requirements against the agreed operating case.

03

Technical Claim Validation

Focused investigation

Test the claim the transaction depends on.

Examine a critical technical or scientific claim when document review alone cannot establish whether the evidence supports it.

04

100-Day Technical Value Creation Plan

Post-acquisition integration & execution

Turn the integration objectives into an owned technology programme.

We map systems, data, workflows, vendors and responsibilities; decide what should stay, connect, change or wait; then coordinate the work with management, suppliers and delivery teams.

More detail when you need it

The substance is here. It does not need to obscure the offer.

What post-acquisition integration can uncover
01

Systems do not connect

Core platforms, identity, finance, CRM and collaboration environments carry different assumptions into the combined business.

02

Data tells different stories

Management reporting, customer records and operational measures remain fragmented across businesses and tools.

03

Cost remains duplicated

Vendors, licences, infrastructure and manual work persist because no one has made the sequence of decisions required to simplify them.

04

Workflows break at the boundary

The acquisition may be complete while sales, service, finance and delivery still depend on handoffs that were never designed to work together.

05

Ownership is unclear

Advisers identify issues, suppliers own individual systems and internal teams carry the programme alongside their normal responsibilities.

06

Management attention is divided

Leaders must protect business-as-usual performance while also making decisions that shape the next operating model.

What the Integration Blueprint contains

How accountability and specialist boundaries work
01

One accountable relationship

The client relationship and programme leadership remain Australian-led, with global specialist capability assembled around the work.

02

Client-owned systems and information

Access is deliberate, least-privilege and documented. Repositories, accounts, artefacts and final programme knowledge remain with the client.

03

Specialists are explicit

Cybersecurity, legal, tax, financial and regulatory specialists are identified clearly when their expertise or independence is required.

04

Technical findings and transaction advice are separated

ZeroFold reports technical evidence and execution requirements. Financial-product, valuation and transaction recommendations remain with the client and its appropriately licensed advisers.

Questions

What buyers usually want to know.

Is ZeroFold an M&A adviser?

No. ZeroFold is not an investment bank, broker, financial adviser, accounting adviser or legal adviser. Investor Solutions is limited to technical and operational consulting around diligence, integration and portfolio programmes. We do not recommend whether a client should acquire, dispose of or hold an investment, value a financial product, arrange a transaction, raise capital or deal in securities.

Do you provide technical and scientific due diligence?

Yes, when the required senior diligence leadership and specialist coverage are in place. The work reports technical evidence, limitations, engineering risks and execution requirements. It does not provide financial product advice, an investment recommendation, a transaction recommendation, valuation, statutory assurance or a formal legal, tax, patent, regulatory or medical opinion.

When should Investor Solutions become involved?

The strongest point is before integration activity fragments: during late diligence, between signing and close, immediately after close or when an existing post-acquisition programme has stalled. We can also establish a portfolio-level capability before the next add-on arrives.

Do you replace the portfolio-company management team?

No. Management retains all business, transaction and investment decisions. ZeroFold adds technical evidence, programme structure and specialist execution so the authorised decision-makers and their advisers have a clearer operating picture.

Can you work with our existing advisers, MSPs and software vendors?

Yes. Investor Solutions is designed for environments with multiple parties. We clarify responsibilities, dependencies, decision rights and reporting so existing expertise contributes to one programme rather than becoming another disconnected workstream.

Can ZeroFold execute the roadmap it recommends?

Yes, where that is appropriate and explicitly agreed. Build can deliver software, integrations, data and automation outcomes, while Investor Solutions coordinates the wider programme. External specialists remain involved where independence, accreditation or domain authority matters.

How are integration priorities chosen?

We prioritise around business continuity, agreed integration objectives, dependencies, cost, risk, management capacity and time to useful value. The aim is not to integrate everything; it is to make the smallest set of decisions that creates control and momentum.

Can Investor Solutions support several portfolio companies?

Yes. The Portfolio Technology Office is designed to create a repeatable view of technology needs, shared playbooks and an accessible specialist network across multiple companies while preserving the context and autonomy of each management team.
